Altana announces the appointment of two new counsels

The law firm Altana announces the appointment of Cécile Panien-Ferouelle and Benjamin Dors as Counsel.

Cécile Panien-Ferouelle practises in Public Law and in particular in Urban Planning Law. She is particularly involved in assisting developers and hotel groups in the development of complex real estate transactions.

Admitted to the Paris Bar in 2011, she has been practicing at Altana since she was sworn in. She holds a Master 2 professional degree in public litigation law (University of Versailles Saint-Quentin-en-Yvelines).

Her appointment reflects the desire of Altana’s partners to accelerate the development of the Urban Planning Law practice in order to meet the new needs of their clients in all issues and challenges inherent in construction law.

Benjamin Dors advises on complex business law litigation, involving both civil and commercial issues as well as aspects of business criminal law.

He represents French and international companies as well as their directors in national and transnational disputes. He regularly appears before judicial and arbitral tribunals, as well as before law enforcement and administrative authorities.

Admitted to the Paris (2012) and New York (2011) Bars, he holds a Master 2 in International Business Law (University of Montpellier I) and an LL.M. (University of Florida – G. Levin College of Law). After working in the United States with Zuckerman Spaeder LLP and in France with Bersay & Associés and Veil Jourde, Benjamin joined Altana in 2018.

In this way, Altana continues to promote its talents and develop its expertise for the benefit of the firm’s clients.

ALTANA advises Terre d’Avenir on the sale of nine hydroelectric power stations to Eiffage Concessions

ALTANA advised Terre d’Avenir on the sale of nine hydroelectric power stations located in Western France to the Eiffage Group: six power stations located on the river Agout in Tarn, one power station located on the Adour in Gers, one power station located on the Vienne in Charente and one power station located on the Vézère in Dordogne.

This transaction will enable the Eiffage Group to strengthen its position in the renewable energy sector as part of its strategy to diversify its concessions portfolio in the region.

Through this operation, ALTANA once again demonstrates its know-how in strategic disposal operations as well as its expertise in the energy sector.

ALTANA advises the digital agency CHEEK on its sale to the MAZARINE GROUP

Founded in 2012 by Valéry Manin, Cheek has developed a B-to-B service for premium fashion and jewellery brands that want to develop their online sales to accelerate their business growth. Among its customers are the Rouje, Mauboussin, Gas Bijoux and Schott brands.

The agreement concerns the sale of all the activities of the Cheek Digital Agency to become Mazarine Cheek. Valéry Manin is now Associate Director of Mazarine Cheek.  The 20 Agency experts who joined the nearly 400 employees of the Mazarine Group, bring their know-how in the development of specific e-commerce platforms, deployment of custom CRM solutions, integration of social shopping and optimization of SEA and “social ads” campaigns.

ALTANA accompanies SANCARE in its first major round of capital funding

Counsel to Sancare since its creation in 2016, Altana assisted the company, which specialises in machine learning applied to hospital data, in its first round of capital funding for one million euros.

This raising of seed capital, which was carried out with several investment funds (ELAIA PARTNERS, EXTENS DEVELOPPEMENT E-SANTE and MAJYCC ESANTE INVEST) and business angels, will allow SANCARE to accelerate its R&D in machine learning as well as increase its marketing and sales deployment.

Winner of the Digital Innovation Competition in 2017, SANCARE has developed software that uses machine learning to recognise the pathologies described in a patient file and deduce from this the procedures carried out. This solution, which is aimed at hospitals and clinics, is designed to automate the billing, thus saving healthcare professionals time and reducing the risk of error.

ALTANA advises TUTÉLAIRE on its acquisition of the legal protection and services activities of the APRIL group in France

TUTÉLAIRE, a mutual providence insurer specialising in dependency insurance, in partnership with the management of SOLUCIA PJ, has entered into an agreement to acquire SOLUCIA PJ and JUDICIAL, subsidiaries of the APRIL group.

The agreement, concluded following a period of exclusive negotiations, involves the transfer to the consortium formed by TUTÉLAIRE and the management of SOLUCIA PJ, of 100% of the shares of both companies, which posted a combined turnover of €35.6 million in 2018 and net profit of €2.2 million.

This acquisition will enable TUTÉLAIRE to consolidate its offerings in provident coverage and related services and accelerate its evolution in a context of far-reaching transformation in the world of insurance in general and the mutual sector in particular.

Completion of the acquisition, scheduled for the first quarter of 2020, is subject to the authorization of the French prudential control and resolution authority (ACPR) for the sale of SOLUCIA PJ.

Altana assists the MILLET Group in the acquistion of the assets of TITAGARH WAGONS AFR

Altana advised the MILLET Group in its offer to acquire the assets of TITAGARH WAGONS AFR, the last French manufacturer of freight wagons.

Faced with cash flow constraints, and despite solid orders, TITAGARH WAGONS AFR applied in June 2019 for judicial proceedings, following which the Paris Commercial Court approved the offer presented by the MILLET Group, allowing 109 jobs, or 93.1% of the workforce, to be maintained and the industrial site located in the heart of Douai (Nord) to be taken over.

The Paris Commercial Court has thus retained the skills and expertise of the MILLET Group, a family business founded in 1898, which generates 76 million euros in turnover (53% of which is outside of France) and employs 237 people.

Created in 1985, TITAGARH WAGONS AFR, the last French manufacturer of freight wagons (cereal, oil, cement), was taken over in 2010 by the Indian group TITAGARH, India’s leading rail manufacturer, as part of a sale plan.

This takeover restores the company’s historical know-how, renamed MILLET AFR, in an economic context of strong rail freight renewal. The objective is to achieve a production of 400 grain and oil wagons per year.

The MILLET Group is advised by Altana’s cross-functional team composed of Mana Rassouli (Partner), Margaux Chaumien (Associate) on restructuring aspects, and Pierre Lubet (Partner) on labour law aspects.
